1. Who we are
SERPSCRIPT LLC, registered in Wyoming with registered office at 30 N GOULD ST STE N, SHERIDAN WY 82801 ("we", "us", "our"). Contact: hello@auto-publisher.io.
2. Billing and Payments
We handle all billing and payments directly. You will receive invoices from SERPSCRIPT LLC for your monthly package and any overages. Payment terms are Net 15 days from invoice date unless otherwise agreed in writing.
3. Service
We provide a SaaS platform for multi-site content publishing ("Service"). Monthly package options:
- Growth – up to 15 sites, 500 publishes/month, 5 team members, €2,200/month
- Pro – up to 75 sites, 2,000 publishes/month, 15 team members, €5,000/month
- Enterprise – up to 250 sites, 6,000 publishes/month, 25 team members, €9,000/month
Overages are billed at €6.00 per additional publish, €50/month per additional team member, and €20/month per additional site. Fair-use and technical limits may apply to ensure platform stability.
4. Business use only
By using the Service, you confirm you act for business purposes and have authority to bind your organisation.
5. Accounts & access
You are responsible for safeguarding credentials and ensuring users comply with these Terms. Disable former staff/contractor access promptly.
6. Pricing, billing & taxes
- Monthly packages. Billed monthly in advance via invoice. Payment terms are Net 15 days.
- Invoicing. We send invoices directly. You are responsible for applicable VAT/GST/sales taxes in your jurisdiction.
- Overages & upgrades. Exceeding package limits incurs overage charges. Package changes take effect the following month.
- Price changes. We may change prices/limits with 30 days' written notice.
- Late payments. Accounts may be suspended for invoices overdue by more than 15 days.
7. Cancellation & termination
- You may cancel anytime by contacting us at hello@auto-publisher.io. Access continues until the end of the current monthly period; no pro-rata refunds unless required by law.
- We may suspend/terminate for material breach, misuse, non-payment, legal/compliance risk, or platform abuse.
- Upon termination, access ends and we may delete data after a reasonable retention window, unless law requires otherwise.
8. Refunds
Refunds are handled directly by us and are discretionary. For B2B services, refunds are generally not offered for partial periods unless required by law. See our Refund Policy for full details.
9. Acceptable use
Do not break the law, infringe rights, probe/overload systems, disrupt fair use, or publish unlawful/harmful/infringing content. We may throttle/suspend accounts impacting stability.
10. Customer content & licences
You retain content ownership. You grant us a worldwide, non-exclusive licence to host/process/display content solely to provide the Service. You’re responsible for rights and compliance.
11. Intellectual property
The Service software, features, and branding are owned by us or licensors. No rights are granted except to use the Service under these Terms.
12. Data protection & privacy
We process personal data per our Privacy Policy. Where required, we will sign a DPA. You must have a lawful basis for personal data you upload and comply with data protection laws (e.g., GDPR).
13. Availability & support
High availability is our aim but not guaranteed. Planned/emergency maintenance may occur. Support is provided as described on our site or in your plan/SLA.
14. Warranties & disclaimers
The Service is provided “as is”. To the fullest extent permitted by law, we disclaim all warranties, including fitness for a particular purpose and non-infringement.
15. Liability
Neither party is liable for indirect/consequential losses, lost profits, revenue, or data. Our total aggregate liability is limited to fees paid by you to us in the 12 months preceding the claim.
16. Indemnity
You will indemnify us against claims arising from your content, misuse of the Service, or breach of these Terms.
17. Changes
We may modify the Service or these Terms. If changes materially affect core functionality or your rights, we will give reasonable notice. Continued use after changes indicates acceptance.
18. Third-party services
Integrations/links to third parties are provided “as is”. Your use is subject to those third parties’ terms.
19. Governing law & jurisdiction
These Terms are governed by the laws of Wyoming. Courts of Wyoming have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
